About the Role

We are seeking an accomplished and highly strategic Senior M&A Counsel to join our Global Corporate Legal team. This senior-level role is key to advancing the companys inorganic growth strategy through mergers, acquisitions, joint ventures, and other strategic investments worldwide.

You will oversee the entire M&A lifecycle from target identification and due diligence to negotiation, closing, and post-merger integration acting as both legal advisor and project manager. This role is ideal for a seasoned lawyer with exceptional commercial insight, negotiation skills, and the ability to operate independently in a dynamic, fast-paced, and international environment.

Key Responsibilities

Transaction Execution & Management

  • Lead and manage all legal aspects of M&A and investment transactions from initiation to completion, including structuring, due diligence, negotiation, and closing.
  • Draft, review, and negotiate key transaction documents including LOIs, term sheets, share purchase agreements, asset purchase agreements, joint venture agreements, and shareholder agreements.
  • Coordinate the due diligence process with internal teams (Finance, HR, Technology) and external advisors to assess and mitigate legal and commercial risks.
  • Advise senior leadership on transaction structures, deal terms, and negotiation strategies.

Strategic Advisory & Pipeline Development

  • Partner with corporate development to assess acquisition targets, joint ventures, and investment opportunities.
  • Provide early-stage legal advice on deal feasibility and alignment with long-term business objectives.
  • Monitor M&A market trends, especially in technology, gaming, and digital sectors, to inform deal strategy.

Post-Closing Integration & Portfolio Management

  • Oversee legal aspects of post-merger integration, ensuring smooth transition of assets, operations, and employees.
  • Support legal management of acquired entities and joint ventures within the corporate portfolio.
  • Refine and enhance M&A playbooks, templates, and internal processes to optimize transaction execution.

Qualifications & Requirements

  • Qualified lawyer in a major common law or civil law jurisdiction (e.g., UK, USA, EU).
  • 8 - 12 years of post-qualification experience (PQE) in public and private M&A, gained at a top-tier international law firm; in-house M&A experience with a multinational corporation is a strong advantage.
  • Proven record of leading complex, cross-border M&A deals through the full lifecycle.
  • Advanced skills in drafting and negotiating sophisticated transaction agreements.
  • Strong business acumen and ability to advise on commercial and financial aspects of transactions.
  • Exceptional project management skills with experience managing multiple high-stakes workstreams simultaneously.
  • Excellent communication skills and confidence in advising senior executives.
  • High ethical standards, integrity, and sound judgment.
