This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a VP, Assistant General Counsel based in the United States. The VP, Assistant General Counsel will provide strategic legal and regulatory guidance across a broad range of corporate and business matters. The role will advise senior leaders and business teams on legal risks, contractual obligations, and regulatory requirements. You will oversee and coordinate litigation while managing relationships with external legal counsel and other stakeholders. The position will play a key role in negotiating commercial agreements and supporting complex transactions and corporate initiatives. You will monitor evolving laws and regulations and translate legal developments into practical risk-management strategies. The role combines sophisticated legal work with business partnership, requiring sound judgment, strong communication, and the ability to balance legal and commercial priorities. Provide legal counsel and strategic guidance on litigation, business law, corporate governance, transactions, employment matters, insurance, contracts, lending, and other corporate legal issues. Draft, review, negotiate, and revise commercial agreements, third-party contracts, disclosures, correspondence, policies, and other legal documents. Assess contractual obligations, legal exposure, and business risks, providing clear recommendations that support informed decision-making. Research and anticipate emerging legal and regulatory issues and develop practical strategies to mitigate risk and respond to changing requirements. Monitor relevant federal and state legislation, regulations, court decisions, and legal trends affecting financial institutions, consumers, employment, collections, and consumer protection. Manage and coordinate litigation involving the organization, including evaluating claims, coordinating filings, communicating with opposing parties, and working with insurers and external counsel. Oversee outside counsel, ensuring alignment with organizational objectives, effective case management, protection of the organization's interests and reputation, and appropriate legal spending. Provide legal guidance on complex organizational matters, including mergers, governance matters, policy revisions, and other strategic initiatives. Support legal and regulatory compliance by reviewing agreements and disclosures for applicable state and federal requirements and promoting fair treatment of consumers and the organization. Advise on sensitive communications, including member complaints, regulatory correspondence, advertising materials, press releases, and other high-impact communications. Provide legal counsel in consumer and business lending matters and support the protection of trademarks and other intellectual property. Deliver legal training and guidance to employees and business teams on relevant legal and regulatory topics. Coordinate legal filings and maintain accurate legal documentation to meet applicable local, state, and federal requirements. Collaborate across functions to build consensus, prioritize competing matters, and deliver timely, practical legal solutions. Requirements Juris Doctor (J.D.) degree from an accredited law school. Active membership and good standing with the State Bar of California. At least 5 years of relevant legal experience gained in a mid-to-large law firm and/or as in-house counsel, preferably within financial services or another highly regulated industry. Demonstrated knowledge of laws, regulations, court procedures, and legal principles relevant to financial institutions and corporate operations. Strong understanding of federal and state laws governing financial institutions, consumer protection, collections, employment, and lending. Proven experience reviewing, drafting, and negotiating sophisticated commercial and third-party agreements. Experience managing litigation and effectively directing and collaborating with external legal counsel. Demonstrated leadership experience, including building cross-functional consensus and managing high-performing teams. Strong legal research, analytical, organizational, and problem-solving abilities, with proficiency in legal research platforms such as Westlaw or comparable resources. Ability to quickly identify legal and business risks and communicate practical, concise recommendations to stakeholders at all organizational levels. Excellent judgment and confidence in providing challenging legal advice while maintaining constructive relationships with colleagues and business partners. Exceptional attention to detail, proofreading skills, and ability to manage confidential information. Ability to prioritize multiple projects and deadlines effectively in a fast-paced environment with limited supervision. Excellent written, verbal, and interpersonal communication skills. Advanced proficiency with Microsoft Office applications, including Word, Excel, PowerPoint, Outlook, and SharePoint. Ability to coordinate timelines, follow up on action items, and effectively manage the needs of internal and external stakeholders. Candidates must be authorized to work in the United States without employer sponsorship. Candidates must reside within a reasonable commuting distance of the communities served by the organization and corporate headquarters in Vacaville, California.
