Full job description
This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Director, Corporate Counsel based in the United States. The Senior Director, Corporate Counsel will lead corporate legal strategy and mergers and acquisitions (M&A) within a growing, multi-entity organization operating in the healthcare technology sector. Reporting to the SVP, Deputy General Counsel, this senior leadership role combines hands-on transactional execution with strategic legal advisory responsibilities. The successful candidate will guide complex acquisitions, investments, financings, and corporate restructurings while partnering closely with Corporate Development and executive leadership. They will manage and develop legal talent, oversee corporate governance, and strengthen the organization's legal infrastructure. This role offers the opportunity to build scalable processes, improve transaction efficiency, and shape how the corporate legal function evolves. The ideal candidate brings exceptional deal judgment, strong leadership skills, and a practical, business-oriented approach to legal risk in a dynamic, remote-first environment.
Lead M&A transactions from letters of intent (LOIs) through due diligence, structuring, negotiation, signing, closing, and post-closing legal matters. Serve as the primary legal partner to Corporate Development and advise senior executives on acquisitions, investments, financings, restructurings, and other strategic initiatives. Lead transaction drafting and negotiations, collaborating with outside counsel on complex deals and coordinating internal stakeholders and specialist advisors. Develop standardized playbooks, templates, and processes that enable the internal legal team to manage routine corporate transactions more efficiently, including investments and joint venture arrangements. Manage, coach, and develop the Corporate Counsel, setting priorities, delegating responsibilities, providing performance feedback, and supporting future team expansion. Oversee corporate governance, subsidiary management, entity maintenance, and corporate records across the organization, including remediation of legacy matters. Coordinate post-closing legal activities, including governance updates, entity consolidation, intercompany agreements, outstanding obligations, and integration initiatives. Manage outside counsel relationships, defining expectations for scope, staffing, timelines, quality, and fees while forecasting legal resource requirements and external legal spend. Establish repeatable practices for corporate transactions, including standard LOI positions, negotiation guidance, and approaches to recurring legal issues. Oversee legal readiness for fundraising, financing, and strategic transactions by maintaining accurate corporate records, capitalization information, and due diligence materials. Partner with Finance, Accounting, Compliance, People, and other business teams to provide practical legal guidance, identify material risks, and engage healthcare regulatory specialists when needed. Support additional legal and corporate responsibilities as assigned. Requirements: Juris Doctor (JD) degree from an ABA-accredited law school and an active license to practice law in at least one U.S. jurisdiction. Significant corporate law and M&A experience, with a proven ability to lead complex transactions from initial structuring through closing. Strong M&A training at a law firm or equivalent experience within a large organization with a complex subsidiary and entity structure. Experience leading high eight- to nine-figure transactions, or managing a substantial volume of deals with comparable complexity and responsibility. Demonstrated people-management experience, including developing legal professionals, setting expectations, evaluating performance, and delivering constructive feedback. Ability to independently lead transactions, manage outside counsel, and coordinate multiple deals and stakeholders in a fast-paced environment. Excellent business judgment and the ability to advise senior executives on transaction structures, negotiation strategies, and legal risks through clear, actionable recommendations. Strong knowledge of corporate governance, entity management, capitalization matters, and financing due diligence. Experience creating processes, playbooks, and systems that improve the consistency, efficiency, and quality of legal work. Excellent written and verbal communication, responsiveness, and follow-through, with the ability to anticipate issues, challenge assumptions constructively, and keep stakeholders aligned. Experience in healthcare M&A or another regulated industry is a strong advantage but is not required. Benefits: Medical, dental, and vision insurance plans. Flexible Spending Accounts (FSAs) and Health Savings Accounts (HSAs). Flexible paid time off (PTO). 401(k) retirement plan with company matching. Life insurance. Pet insurance. Fully remote work arrangement within the United States. Senior-level leadership responsibilities with opportunities to develop a legal team and shape scalable corporate legal operations. A collaborative, relatively flat organizational structure that encourages autonomy, professional growth, and meaningful contributions.
